1. Scope
These terms apply to website design, development, repair, content integration and related digital services supplied by Swen Witthuhn trading as Monivance Digital. Individual proposals take priority where they contain different terms.
2. Business customers and markets
Services are primarily offered to businesses and self-employed customers outside Germany, Austria and Switzerland. Consumer projects are accepted only after mandatory consumer information and any withdrawal rights have been clarified in writing.
3. Contract formation
A contract is formed when the customer accepts a written proposal, order confirmation or invoice that identifies the scope, price, payment milestones and expected delivery. Website prices are non-binding starting prices.
4. Prices and taxes
The binding proposal states the currency and whether value-added tax is included, added or not charged under the applicable tax rules. Bank, payment-provider and currency-conversion fees may be charged by third parties.
5. Customer cooperation
The customer must provide accurate business information, content, access credentials and approvals on time and must hold the rights required for supplied text, images, logos, fonts, video and data. Delivery dates move where required materials or approvals are delayed.
6. Delivery
Typical delivery is 7–21 business days after all required content is supplied and the scope is approved. This is an estimate unless a fixed date is confirmed in writing.
7. Revisions
The number of included revision rounds is stated in the proposal. Additional pages, functions, content creation or substantial changes of direction are quoted separately.
8. Payment
Deposits and milestone payments are due as shown in the proposal or invoice. Work may be paused while an overdue payment remains outstanding. Ownership transfer and final handover occur after full payment.
9. Acceptance and defects
The customer must review the delivered preview and report reproducible material defects within 14 days. Minor deviations that do not materially impair the agreed use do not justify refusal of acceptance. Statutory rights remain unaffected.
10. Intellectual property
After full payment, the customer receives the agreed rights to custom deliverables. Open-source components, stock assets, fonts, plugins and other third-party materials remain subject to their own licences. Monivance may display the project in its portfolio unless confidentiality is agreed.
11. Search engines and third parties
No ranking, traffic, lead volume or uninterrupted availability of hosting, search engines, payment providers or other third-party services is guaranteed.
12. Liability
Liability is unlimited for intent, gross negligence, injury to life, body or health and where mandatory law requires it. For ordinary negligence, liability is limited to foreseeable damage from breach of an essential contractual duty.
13. Cancellation
If a customer cancels after work has started, completed work, purchased licences and reserved project capacity remain payable. Any mandatory consumer withdrawal rights remain unaffected.
14. Governing law and jurisdiction
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. For merchants, legal entities under public law and customers without a general place of jurisdiction in Germany, Bautzen, Germany is agreed as the place of jurisdiction where legally permitted.
15. Severability
If an individual clause is invalid, the remaining provisions remain effective. The statutory rule applies in place of the invalid clause.
